Byron Allen is paying $120 million for a 52 percent stake in BuzzFeed and will assume the titles of Chairman and Chief Executive Officer from co-founder Jonah Peretti.

Allen Family Digital is acquiring 40 million new Class A shares at $3.00 per share. Only $20 million arrives as closing cash. The remaining $100 million is a five-year secured promissory note at 5 percent interest, backed by 33.3 million of the new shares. The deal is expected to close around May 26.

Peretti will transition to a newly created role as President of BuzzFeed AI.

Nasdaq granted an exception to its shareholder approval and voting rights policies after the audit committee concluded that delaying the deal for a vote would seriously jeopardise the company’s financial viability. That detail alone tells you how urgent the situation was.

BuzzFeed reported Q1 2026 revenue of $31.6 million with a wider net loss, numbers that made clear the company needed capital and new direction, fast.

Allen’s stated vision is to expand BuzzFeed into free-streaming video, audio and user-generated content. “With the power of AI,” Allen said, “BuzzFeed is officially chasing YouTube to become another premiere free video streaming service.”

Allen built Allen Media Group from nothing over 30 years into a global media and distribution operation. He now inherits two of the internet’s most iconic content brands. Whether he can revive them is the biggest question in digital media right now.
